BNB Chain Event Participation Terms and Conditions

1. Content

For the purpose of these terms and conditions ("Terms"), an "Event" means any event organized by BNB Chain Innovation Limited and its contractors, sponsors, partners, affiliates, and licensees (referred to in these terms and conditions altogether as "BNB Chain Innovation", "us", "we", "our" or the "Organizer").

2. Applicability

These Terms apply to all interested applicants of the Event who have submitted a completed application form (also referred herein as "you" or "Participants"). Based on the information provided, you may be subject, in some Events, to an evaluation process for your request to participate in the Event to be accepted. Only applicants successfully selected and invited by us will be eligible to participate in the Event as a Participant. For clarity, please note that: (a) your submission and our successful receipt of a completed application form from you, shall not itself be construed as an acceptance by us of your request to participate in the Event (or confirmation of your status as an accepted Participant of the Event); (b) only accepted applicants will be notified; (c) we reserve the right, in our sole and absolute discretion, to decide whether or not to accept your request to participate; and (d) all such decisions by us shall be final and non-appealable.

Your continued participation in this Event shall constitute your continued acceptance of these Terms and all other terms that are incorporated herein, including any updates or modifications to them from time to time.

3. Eligibility Criteria

By confirming your participation in the Event, you hereby represent and warrant that you are 18 years old and above, have full legal capacity, have all legal rights and ownership on the projects you have submitted to participate in the Event and sufficient authorizations to enter into these Terms with us.

4. Assumption of All Risks & Waiver

You hereby agree that your attendance at, and participation in, the Event is at your sole risk. It is your sole responsibility to maintain any health, liability, hazard, personal injury and other insurance policies as you deem reasonably necessary for any injuries that you may incur during or in connection with (including without limitation any travel to or from) the Event. You hereby authorize and consent to emergency medical care and transportation to obtain treatment in case of injury, as BNB Chain Innovation may deem appropriate. The waiver and release of liability in these Terms extends to any liability arising out of or in any way connected with any such medical treatment and transportation that you may receive or any failure to provide such treatment or transportation, whether arising from the negligence of any of the BNB Chain Innovation and its employees, contractors, sponsors, partners and affiliates or otherwise. You hereby agree not to sue, and irrevocably, unconditionally and entirely waive and release BNB Chain Innovation and its employees, contractors, sponsors, partners and affiliates from any and all liability, claims and demands of any kind or nature, in law or equity, which you may have relating in any way to any personal injury, death, property damage or other damage arising out of or related to your participation in, or travel to and from, the Event or any other activity in connection with these Terms, to the extent allowed under the applicable laws. You understand that you may not seek any equitable relief against BNB Chain Innovation or seek any termination or rescission of these terms. These Terms are binding upon any Participant and their heirs, legal representatives and successors.

5. Event Cancellation or Postponement

BNB Chain Innovation reserves the right to cancel and/or postpone the Event for any or no reason (including, without limitation, by reason of a force majeure event). BNB Chain Innovation shall notify Participants of any cancellation or postponement as soon as reasonably practicable. You agree that BNB Chain Innovation shall not be in breach of these Terms by virtue of any such cancellation or postponement, and you hereby waive any and all claims against, and release and discharge BNB Chain Innovation from any and all claims that you have or may have in relation to the same.

6. Event Code of Conduct:

1. Participants must not cheat or engage in any dishonest conduct, including the tampering or corruption of other Participants’ or teams’ entries or submission, seeking assistance, consulting or discussing their proposed submission with any one else (other than their own team members, if they are participating as a team), or improperly influencing the judging or winner selection process during the Event, if any.
2. Participants must not access another Participant’s electronic devices without authorisation, or retrieve or download data from those devices without authorisation.
3. Participants must not defame, harass, abuse, threaten, or defraud other Participants of the Event, or collect or attempt to collect personal information about users or third parties without their consent.
4. Participants must comply with all applicable laws and not perform any illegal activities or conduct.
5. Participants must conduct themselves with integrity and honesty at all times throughout the Event. Participants must provide truthful and accurate information to us at all times, including the contents provided in the application form.
6. Participants must not do anything that might undermine or interfere with the smooth conduct and running of this Event, violate any applicable or, or contain any lewd or inappropriate content (as may be determined by us in our sole and absolute discretion).
7. Participants must provide such additional information as may be required by us from time to time.
8. Participants must not submit any entry that might contain any virus, worm, trojan-horse or any other codes or instructions that might distort, delete, damage, emulate or disassemble any other entries or platform or other projects on the BNB Chain Innovation.
9. Participant must not conduct himself or herself in a manner that may cause damage or harm to, or discredit, the Organizer or its brand’s reputation, or that may result in adverse publicity to Organizer or its brand.
10. Participant must not misuse any information or data belonging to Organizer, other Participants or other third parties, whether as part of its Submission or otherwise.
11. Participant must not use any of the Organizer’s intellectual property rights (including brand logos etc), unless permitted to do so by Organizer.

We have sole and absolute discretion in determining all matters relating to this Event, including on issues such as whether any of the above-mentioned rules specified in the code of conduct have been breached, the eligibility of a Participant, and the selection of winners. If appropriate, we also reserve the right to disqualify any Participant and his/her team’s entry submission, or impose any other further conditions or penalty as we deems fit (such as, but not limited to deduction of points that goes towards the final judging score, etc). All such decisions by us are final and binding and not subject to appeal.

7. Participant Obligations

All Participants must comply with the Terms as set out herein (which includes, without limitation, the submission guidelines and hacker conduct rules, if any), any other rules, guidelines and requirements that we may announce or impose from time to time as we deem fit, and any applicable terms of use or code of conduct in relation to any third party platforms (if any and permitted by us to be used by Participants). For the avoidance of doubt, Participants also agree to the terms of use published on BNBChain.org (if any) (as may be amended and updated from time to time), if and to the extent that they apply, as part of Participant’s activities during the Event.

8. Prizes

1. We may advertise prizes for some or all Participants of certain Events and may require, in our sole discretion, certain conditions to be fulfilled in order to be eligible for such prizes. You understand and agree that your participation in the Event is not a guarantee to win a prize in any way whatsoever and in case the Event has any prizes to be awarded, your chance of winning is entirely dependent on the evaluation of the judges appointed for the Event and BNB Chain Innovation, at their own discretion. BNB Chain Innovation is not and will not be responsible for the awarding, settlement or delivery of any prizes that are advertised or offered during or in connection with the Event or other Participants in the Event, and you agree that BNB Chain Innovation will have no liability in connection with the prizes, including without limitation your use of the prizes.
2. You understand and agree that you will not make, in any way whatsoever, any announcements or disclosure that you have been awarded with a prize prior to the official announcement to be made by BNB Chain Innovation. You will be notified by BNB Chain Innovation when such an official announcement on selection of the Participants and awarding of the prizes is made.
3. The amount and specifics of the prize and the number of winners may be determined by BNB Chain Innovation in its sole discretion. The decisions on selection of the winners and the prize specifics will be final and conclusive on all matters relating to the judging and non-appealable. No cash or other prize substitution permitted. Any prize is non transferable.
4. You understand and agree that you will be required to agree to additional terms in case you are selected as a winner for any prize as part of the Event.
5. Any and all prize related expenses, including without limitation any and all federal, state, and local taxes shall be the sole responsibility of the winner.

9. Intellectual Property:

1. You represent and warrant that all work product that you may have created or submitted during the Event, if any, is your or your team’s original work and idea, and does not infringe any third party intellectual property rights or is illegal in any way.
2. Without prejudice to the generality of the above, you are prohibited from posting or transmitting any content that violates the law, infringes anyone’s intellectual property rights, violates anyone’s privacy, or breaches any agreement you have with others or any, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material, or any other material that could give rise to any civil or criminal liability under the applicable laws.
3. Nothing in these Terms (or the activities contemplated hereunder) shall be construed as providing or transferring to Participant any right, license or permission to deal with BNB Chain Innovation’s intellectual property rights unless otherwise provided in these Terms, or where express written consent had been given by BNB Chain Innovation.
4. You agree to grant BNB Chain Innovation an unrestricted, worldwide, irrevocable, fully sub-licenseable, non-exclusive, and royalty-free right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display any work product that you may have created or submitted during the Event in any form, format, media, or media channels now known or later developed or discovered.
5. The term "intellectual property rights" used in these Terms includes but is not limited to any patent, copyright, design right, trade mark, service mark, trade dress, trade name, goodwill, geographical indication, graphical user interface, image rights, moral rights, integrated circuit layout-design right, know-how, confidential information, trade secret, any application (whether pending, in process or issued) for any of the foregoing, and any other industrial, intellectual property or protected right similar to the foregoing (whether registered, registrable or unregistered) in any country and in any form, media, or technology now known or later developed.

10. Recordings

We may photograph, videotape or otherwise record, collect and reproduce the image, picture, portrait, likeness, appearance, performance, name, pseudonym, voice and any biographical information or other statements made by the Participants in connection with the Event in any and all forms and media now existing or hereafter created, including, but not limited to, by means of online and electronic media, print media, in retail establishments, at trade shows and by telecasting (including without limitation over-the-air, pay or cable television advertising) ("Recordings"). You acknowledge and agree that we exclusively own the Recordings. You hereby grant an irrevocable, perpetual, royalty-free, non-exclusive, sub-licenseable and worldwide right, permission and licence to us to use, reproduce, distribute, display, modify, perform, make available, and reuse in any manner and all media the Recordings for the purposes of the Event and more generally for inclusion in any of our promotional, advertising or marketing materials. You agree not to sue, and irrevocably, unconditionally and entirely waive, release, hold harmless and forever discharge BNB Chain Innovation from any and all liabilities, claims and demands of any kind or nature, in law or equity, whether known or unknown, which you may have against BNB Chain Innovation relating in any way to the Recordings, including without limitation, claims involving right of privacy, right of publicity, defamation or copyright infringement, unless such use is not authorized by this agreement. You understand that you may not seek any equitable relief against BNB Chain Innovation (such as obtaining an injunction to stop the use or distribution of the appearances or content) or seek any termination or rescission of these Terms.

11. Confidentiality:

1. No Confidential Information, including any information disclosed by BNB Chain Innovation which would reasonably be regarded as confidential and/or proprietary in nature, shall not be disclosed to any third party, or be used for purposes outside of these Terms, without the prior written consent of BNB Chain Innovation.
2. In these Terms, BNB Chain Innovation’s "Confidential Information" includes all and any business, financial, technical, operational, engineering or commercial information, compliance information, client or customer databases, source or object codes, trade secrets or any other industrial property or information, data, know how, business or marketing plans or strategies and any information or materials which had been provided to Participant under or for the purposes of these Terms and/or the Event (if any).

12. Privacy:

13. Indemnity

Participant will defend, indemnify and hold BNB Chain Innovation and its officers, directors, shareholders, employees, agents and affiliates harmless from and against any and all losses, damages, claims, liabilities and expenses (including legal fees), suffered or incurred as a result of or in connection with (i) any breach by the Participant of the obligations and/or warranties set out in these Terms or any other terms agreed between BNB Chain Innovation and Participant, (ii) other negligent acts or omissions by Participant, or its employees and agents (where applicable), whether based in contract or tort, and (iii) any claim made against BNB Chain Innovation by a third party for actual or alleged infringement of a third party’s intellectual property rights or moral rights.

14. Exclusion of Liability

To the maximum extent permitted by law, BNB Chain Innovation shall not be liable to Participant for any physical or emotional damage, injury or distress, invasion of privacy, infringement of rights of publicity or any other claim or cause of action in tort, contract or under any other legal theory arising directly or indirectly from or in connection with these Terms or any other terms agreed between BNB Chain Innovation and Participant. BNB Chain Innovation cannot be held liable, whether in tort (including negligence), contract or otherwise, for any direct or indirect lost profits or revenue, exemplary damages, loss of goodwill, incidental, special or consequential loss, even if such party has been advised of the possibility of such damages. Participant waives his/her right to claim against, and releases and discharges BNB Chain Innovation (and the landlord, owner and/or operator of the venue which the Event is hosted in) from any and all claims that Participant has or may have in relation to the same.

15. General Terms

You agree that: (a) the parties are independent contractors and these Terms will not establish any relationship of employment, agency, partnership or joint venture between you and BNB Chain Innovation; (b) you may not, without our prior written consent, assign, transfer, sub-contract, or in any other way make over to any third party the benefit and/or the burden of these Terms; (c) notwithstanding the foregoing, we may assign rights or delegate obligations under these Terms in whole or in part, to a different entity; (d) failing to enforce any provision of this Terms will not constitute a waiver of future enforcement of that or any other provision; (e) if any provision of these Terms or part thereof is rendered void, illegal or unenforceable by any legislation to which it is subject, it shall be rendered void, illegal or unenforceable to that extent and it shall in no way affect or prejudice the enforceability of the remainder of such provision or the other provisions of these Terms.

16. No Class Proceedings

You agree that any claims relating to these Terms or to your relationship with BNB Chain Innovation as a website user (whether based on contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether the claims arise during or after the termination of these Terms) shall be brought only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. No adjudicator may consolidate or join more than one person’s or party’s claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding. You further agree to waive any right for such claims to be brought, heard, or arbitrated as a class, collective, representative, or private attorney general action, to the extent permissible by applicable law. Combining or consolidating individual arbitrations into a single arbitration is not permitted without the consent of BNB Chain Innovation. Any relief awarded to any one Participant cannot and may not affect any other Participants.

17. Governing Law and Jurisdiction

Without reference to choice or conflict of law principles and rules otherwise applicable, these Terms shall be governed by and construed in accordance with the laws of Singapore. All disputes, controversies or claims between you and BNB Chain Innovation arising out of or in connection with these Terms (including its existence, validity or termination) shall be finally resolved by arbitration to be held in Singapore, and conducted in English under the Rules of Arbitration of the Singapore International Arbitration Centre; provided, however, that each party may enforce its or its affiliates’ intellectual property rights in any court of competent jurisdiction, including but not limited to equitable relief. The arbitral award shall be final and binding on the parties. Except to the extent of entry of judgment and any subsequent enforcement may require disclosure, all matters relating to the arbitration, including the award, shall be held in confidence.
